The obligations of Recipient under Section 1, above, shall not apply to the following:
2.1 Any Information or Item which, at the time of the disclosure, is already rightfully possessed by Recipient or is already in the public domain.
2.2 Any Information which, after the disclosure, enters the public domain without any action or fault of Recipient.
2.3 Any Information which is obtained, other than in connection with the Matter, from any individual, firm or entity which had the unrestricted right to Disclose it.
2.4 Any Information or Item which is developed independently by Recipient without reference to any Information or Item received from Disclosing Party.
2.5 To the extent a disclosure of any Information or Item is necessary for the Recipient to prosecute or defend any claim arising hereunder or otherwise, in which case the recipient shall give prompt notice to Disclosing Party of the potential disclosure and shall use all reasonable efforts to avoid or minimize the disclosure by protective order or agreement or otherwise.

第1条における情報の被提供者の義務は、以下には適用されない。:
2.1 開示時、すでに情報の被提供者が合法的に所有している、または公知の事実にすでになっている情報または品目
2.2 開示後、情報の被提供者の行動または過失によらず、公知の事実になる情報
2.3内容に関する以外の情報で、当該情報に対する無制限の権利を有した個人、法人、または事業体から取得したもの
2.4 情報提供者から受領した情報または品目を参照せずに、情報の被提供者が独自に作成した情報や品目
2.5 情報または品目の開示を、本契約またはその他によって起きる申し立ての訴訟または弁護に際し情報の被提供者が必要とする場合にのみ、情報の被提供者は、開示の可能性について、情報提供者に至急通達し、保全命令、同意またはその他による開示を阻止または最小限に抑えるため、相当の努力を払うものとする。
