1.1 Employees
The Company has not made any promise, whether to the authorities, labor unions, work’s councils or others, to continue its operation at a certain location or to maintain certain job levels or to comply with certain rules relating to operational changes within the meaning of the labor law of Vietnam other than those required by generally applicable law or union agreements applying to the entire industry.
1.2 Governmental Licenses
To the best of the Vendors’ knowledge, the Company has obtained all administrative approvals, permits and licenses in relation to the conduct of its present business.
1.3 Restrictions on Business Activities
To the best knowledge of the Vendors, there is no agreement (non-compete or otherwise) or commitment or any judgment, injunction, order, decree or other action by any government entity binding upon the Company which has or reasonably could be expected to have the effect of prohibiting or impairing any business practice of the Company, any acquisition or disposition of property (tangible or intangible) by the Company or the conduct of the Company’s business.
1.4 Protection of Confidential Information
The Company has taken reasonable steps to protect its rights in their confidential information and trade secrets.

1.1 従業員
本会社は、当局、労働組合、労働委員会等に対するか否かを問わず、一定の場所においてその事業を継続すること、一定の雇用レベルを維持すること、又は、ベトナム労働法における事業変更に関する一定の規則を遵守することを約束していない。但し、一般的に適用のある法令又は全産業に適用のある組合契約により求められる場合はこの限りではない。
1.2 政府認可
売主の知る限り、本会社は、その現在の事業の遂行に関して、全ての行政上の許可、承認及び認可を取得している。
1.3 事業活動に対する制約
売主の知る限り、本会社の事業慣行、本会社による資産（有形・無形を問わない。）の取得若しくは処分又は本会社の事業遂行を禁止又は阻害するとの効果を有する、又は当該効果を有すると合理的に予測される、本会社を拘束する、契約（競業避止等）、コミットメント又は政府組織による判決、差止め、命令、決定若しくはその他の措置はない。
1.4 守秘情報の保護
本会社はその守秘情報及び営業秘密に対する権利を保護するために合理的な措置を講じている。
