●日本語契約書原文
(本契約の適用）
第1条 本契約に定める事項は、本契約の有効期間中契約物件に関し、甲乙間に締結される一切の個別売買契約（以下個別契約
という）につき、その内容として共通に適用されるものとする。ただし、甲及び乙は、個別契約において、本契約に定める条項の一部の
適用を排除し、又は本契約と異なる時効を訳することを妨げるものではない。
(売買目的物）
第2条 甲は、注文書に定める契約物件を継続的に乙から買い受け、乙はこれを甲に売り渡すものとする。
（個別契約の締結及び成立）
第3条 甲が乙から買い受ける契約物件の品名、数量、納期、納入場所、引渡し条件、その他個々の取引に必要な事項は、本契約
に定めるものを除き、個別売買の都度、個別契約を持って定める。前項の個別契約は、、甲の発効する注文書と乙の交付する注文
請書のこうかんによっておこなうものとし、乙の注文請書交付の時に個別契約が成立するのもとする。
●英訳文
(Applicability of this contract)
Article 1 The matters decided in this contract shall be applicable as the
contents in common to all individual dealing contracts concluded between
A and B with regard to contracted supplies during the validity of this
contract. However, this does not preclude A and B in the individual contracts
from removing the applicability of a portion of the Articles decided in
this contract or agreeing to matters that differ from this contract.
(Goods intended to be transacted)
Article 2 A shall continuously purchase from B the contracted supplies
as stipulated in purchase orders, and B shall sell these to A.
(Concluding and effecting individual contracts)
Article 3 The product names, quantities, delivery dates, delivery locations,
handover terms and conditions of the contracted supplies that A purchases
from B, and other necessary matters in each transaction, other than those
stipulated in this contract, are to be stipulated by the individual contracts
at the time of each individual dealing. The individual contracts of the
previous clause are conducted through the exchange of purchase orders issued
by A and the order confirmations delivered by B, and the individual contract
shall be deemed established at the time of B’s delivery of the order confirmation.
